Terms of Service

These Terms of Service (the “Terms”) govern access to and use of GuestSight — the event-feedback service available at guestsight.ai, app.guestsight.ai, guestsight.link, and survey.guestsight.ai (together, the “Service”). By creating an account or using the Service for your business, you agree to these Terms.

1. Who we are & scope of these terms

IN SHORT

GuestSight is run by Giovannini Tech Solutions, a German sole proprietorship. It’s a business tool — these Terms apply between us and the company or professional using it, not the attendees who scan a QR code.

The Service is operated by Giovannini Tech Solutions – Inh. Fabio Giovannini, a registered German sole proprietorship (Einzelunternehmen), VAT ID (USt-IdNr.) DE460918801. Our full operator details, including the postal address, are in our Imprint.

GuestSight is a business-to-business service: event organizers and venues create events in a dashboard, print QR codes, collect anonymous attendee feedback, and receive AI-powered reports and AI-designed follow-up surveys. The Service is offered exclusively to entrepreneurs within the meaning of § 14 BGB (businesses, professionals, and organizations acting in a commercial or professional capacity), not to consumers. By using the Service, you confirm you are acting in such a capacity.

Attendees who leave feedback or answer surveys are not parties to these Terms; the organizer’s relationship with its attendees is described in section 5.

2. Accounts

You sign in with Google, keep your account information accurate, and are responsible for what happens in your workspace — including team members you invite.

Accounts are created by signing in with Google; we don’t operate a separate password login. You are responsible for keeping access to your Google account secure. You must provide accurate company information and keep it up to date.

The person who creates a company workspace confirms they are authorized to bind that company to these Terms. If you invite team members to your workspace, you are responsible for their use of the Service under your account, and for removing access when they leave your organization.

3. Plans, billing & Stripe

The free tier is free. Paid plans are bought through Stripe, who acts as the merchant of record — your purchase contract for a paid plan is with Stripe, and Stripe handles VAT, invoices, and refunds. These Terms govern your use of the Service itself.

GuestSight currently offers a Free plan, a Premium plan (US$ 39/month or US$ 199/year), and an Agency plan (US$ 89/month or US$ 499/year). Prices are in USD and exclude VAT, which is added where applicable. Current plans, prices, and entitlements are listed on the pricing page.

Paid plans are sold through Stripe as merchant of record (Stripe Managed Payments). When you subscribe, the purchase contract for the paid plan is concluded between you and Stripe at checkout, under the purchase terms Stripe presents there. Stripe is responsible for payment processing, VAT collection and remittance, invoicing, refunds, and payment disputes. These Terms govern your access to and use of the Service — plan entitlements, acceptable use, and account matters — and nothing in them modifies Stripe’s purchase terms.

You can cancel or change your plan at any time via the Stripe billing portal, reachable from your dashboard. On cancellation or downgrade, paid features remain available until the end of the billing period already paid for; after that, your account continues on the Free plan and its limits apply. Plan entitlements may evolve over time; material reductions to a paid plan’s entitlements during a paid period will not apply to you until your next renewal.

4. Acceptable use

Don’t use GuestSight for anything unlawful, don’t abuse the attendee-facing pages, don’t scrape or resell the Service, and don’t try to identify anonymous respondents.

When using the Service, you must not:

  • use it for unlawful purposes or to collect, store, or distribute unlawful, defamatory, or infringing content;
  • abuse attendee-facing surfaces (feedback pages on guestsight.link, survey pages on survey.guestsight.ai, QR codes) — for example to send spam, distribute malware, impersonate others, or mislead attendees about who is collecting their responses;
  • use the Service to deliberately collect data that identifies individual respondents of anonymous feedback, or special categories of personal data (Art. 9 GDPR) without a lawful basis;
  • scrape, bulk-export by automated means, resell, sublicense, or provide the Service to third parties as your own offering (the Agency plan permits managing events on behalf of your clients);
  • circumvent technical limits, rate limits, or plan entitlements, probe or disrupt the Service’s infrastructure, or attempt unauthorized access.

We may suspend or restrict access where reasonably necessary to stop a violation or protect the Service, its users, or attendees.

5. Your content & data roles

IN SHORT

Your events, feedback data, and survey responses are yours. We process attendee data on your behalf — you’re the data controller and responsible for collecting it lawfully.

You retain all rights to the content and data you and your attendees submit to the Service (“Customer Content”) — events, feedback responses, survey answers, and derived reports. You grant us the non-exclusive right to host, process, transmit, and display Customer Content solely as needed to provide the Service.

For personal data contained in attendee feedback and survey responses, you (the organizer) are the data controller and GuestSight processes that data on your behalf as a processor, in accordance with our Privacy Policy. A data processing agreement (DPA) under Art. 28 GDPR is available on request at privacy@guestsight.ai.

You are responsible for having a lawful basis for the feedback and survey data you collect, and for providing your attendees with any legally required notices when you distribute QR codes or survey links to them. Attendee feedback is collected anonymously by default; if you add questions that collect personal data, that is your decision as controller.

The Service is hosted on Amazon Web Services in the EU (eu-central-1, Frankfurt). Details on data handling, storage, and retention are in the Privacy Policy, which applies to all data matters and is not restated here.

6. AI-generated output

IN SHORT

Reports and survey suggestions are generated by AI. They can be wrong or incomplete — treat them as an analysis aid and review them before acting on them.

The Service generates event reports and follow-up survey suggestions using third-party AI models. AI-generated output is produced automatically from your feedback data and may contain inaccuracies, omissions, or statements that do not reflect your event. It is provided as an analysis aid, not professional advice, and we do not warrant its accuracy or completeness. You are responsible for reviewing AI-generated output before relying on it or acting on it.

7. Intellectual property

IN SHORT

The Service and its software belong to us; your content belongs to you. If you send us ideas about the product, we may use them.

The Service — including its software, design, branding, and documentation — is owned by us or our licensors and protected by intellectual property law. We grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes during the term of your subscription (or your use of the Free plan). No rights are granted beyond what these Terms state.

Customer Content remains yours (section 5). If you give us feedback or suggestions about the product itself, we may use them to improve the Service without obligation or compensation.

8. Availability & support

IN SHORT

We work hard to keep GuestSight up, but there’s no guaranteed uptime (no SLA). Support is by email, best effort.

We provide the Service on a best-effort basis and do not promise a specific availability level or service level agreement (SLA). We may perform maintenance — where reasonably possible outside typical event hours — and maintenance windows may temporarily interrupt the Service. We continuously develop the Service and may change or improve features, provided the core character of the Service you subscribed to is preserved during a paid period.

9. Termination

IN SHORT

You can leave any time — cancel via the billing portal and delete your account. We can terminate for breach. What happens to your data is in the Privacy Policy.

You may stop using the Service and terminate your account at any time by cancelling any paid plan via the Stripe billing portal and deleting your account. Termination does not entitle you to a refund of the current billing period, except where Stripe’s purchase terms or mandatory law provide otherwise.

We may terminate the agreement with reasonable notice, and may terminate or suspend immediately for good cause — in particular a serious or repeated breach of section 4 that is not remedied after a warning where a warning is reasonable.

On termination, your access ends and Customer Content is deleted or retained according to the retention rules in the Privacy Policy. Export any data you need before terminating.

10. Liability

IN SHORT

We’re fully liable for intent, gross negligence, and personal injury. For simple negligence we’re only liable for breaches of essential contractual duties, and then only for typical, foreseeable damage.

We are liable without limitation:

  • for damage caused by intent or gross negligence;
  • for injury to life, body, or health;
  • under the German Product Liability Act (Produkthaftungsgesetz) and to the extent we have expressly assumed a guarantee.

In cases of slight negligence, we are liable only for breaches of essential contractual obligations (Kardinalpflichten) — obligations whose fulfillment makes the proper performance of the agreement possible in the first place and on whose fulfillment you regularly rely — and in such cases our liability is limited to the foreseeable damage typical for this type of contract. Any further liability is excluded. This limitation also applies in favor of our employees and agents.

For use of the Free plan, we are liable only for intent and gross negligence, without prejudice to the unlimited liability cases above.

11. Changes to these terms

IN SHORT

If we change these Terms, we’ll notify you by email or in the dashboard. Continuing to use GuestSight after the change takes effect means you accept it.

We may update these Terms — for example to reflect new features, legal requirements, or changes to our billing setup. We will announce material changes at least 14 days before they take effect, by email or a notice in the dashboard. If you continue to use the Service after a change takes effect, the updated Terms apply. If you do not agree with a change, you may terminate as described in section 9 before it takes effect.

12. Governing law & final provisions

IN SHORT

German law applies. For merchants, courts at our seat have jurisdiction. If one clause is invalid, the rest still stand.

These Terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-law rules. If you are a merchant (Kaufmann), a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from these Terms is the operator’s seat.

Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected.

These Terms are drafted in English; the English version is the controlling version.
